Terms and Conditions
1. Compliance with Processes and Guidelines:
The Agent shall strictly follow all processes, rules, and guidelines as outlined in the Standard Operating Procedure Manual provided by PPI ISSUER.
Any update from NPCI/NETC has to be followed by agent as per regulatory guidelines.
2. Cooperation During Due Diligence and Investigations:
- The Agent must cooperate fully during due diligence exercises conducted by PPI ISSUER and provide any required assistance or information.
- The Agent shall also provide all relevant information and fully cooperate with PPI ISSUER in conducting investigations into complaints or any other matters as required.
3. Prohibition on Direct Charges:
The Agent shall not directly charge customers for any services rendered on behalf of PPI ISSUER.
4. Employment Responsibility:
- The Agent may employ personnel to provide services, but the franchise is non-transferable.
- The Agent shall be solely responsible for any breach of this Agreement by their employees or representatives.
5. Commission Payments:
- Commissions can be paid to the Agent’s settlement account or the account of a designated individual. Payments made to third-party accounts will still be considered paid to the Agent, with PPI ISSUER bearing no further liabilities.
- No incentive will be paid for tags that are in closed or hot listed status in the month of issuance.
- No incentive will be paid for tags issued on chassis numbers until the Vehicle Registration Number (VRN) is updated.
6. Business Space and Maintenance:
- The Agent must maintain a clean and organized workspace, ensuring convenient customer access, mandatory information display, and prior approval from PPI ISSUER for any modifications.
- The Agent shall also display PPI ISSUER’s signage, including customer care details, fees for services, and grievance redressal contact details.
7. Employee Training:
The Agent is responsible for training employees to operate systems efficiently and maintain service standards as outlined in the Agreement.
8. Record Maintenance and Inspection:
- The Agent must maintain books of accounts and preserve related documents as directed by PPI ISSUER, making them available for inspection upon request.
- Authorized PPI ISSUER personnel may inspect the Agent’s stock, equipment, and accounts without notice. Non-compliance will be treated as a breach of the Agreement and may result in termination.
9. Safety and Security:
The Agent is responsible for the safety and timely disposal of all business-related materials. Any losses incurred due to negligence must be compensated by the Agent.
10. Data Confidentiality and Protection:
- The Agent is responsible for preserving customer records and maintaining confidentiality.
- Unauthorized data leaks or disclosure to third parties without PPI ISSUER’s consent will result in penalties.
11. Proper Use of Services:
Services must not be used for unlawful or inappropriate purposes, including actions that violate the IT Act, 2000, or national interests.
12. Conflict of Interest:
The Agent shall not undertake any similar ventures or activities that conflict with PPI ISSUER’s business during the term of this Agreement.
13. Taxes and Outstanding Payments:
- The Agent shall be liable for all applicable taxes, duties, or levies over and above those notified by PPI ISSUER.
- The Agent agrees to clear all dues and outstanding payments, even in case of disputes, during or post-termination of the Agreement.
14. Return of Property:
Upon termination, the Agent shall return all Marks, documents, and property belonging to PPI ISSUER.
15. Business Continuity Plans:
The Agent shall ensure the availability of contingency and disaster recovery plans to maintain business continuity.
16. Appointment of Sub-Agents:
Sub-agents may only be appointed with prior written approval from PPI ISSUER.
17. Accuracy in FASTag Transactions:
- Tags must be assigned as per vehicle RC classification. Errors in mapper class assignment, chassis numbers, or affixing will incur penalties.
- Vehicle mapper class modifications must be completed within NPCI timelines (T+3 days) to avoid penalties.
18. Penalties for Non-Compliance:
- Misassigned, unused, or improperly affixed tags will result in fines.
- Re-upload failures of rejected KYV documents and errors in uploaded customer details (e.g., missing RCs or images) will attract penalties.
19. Minimum Performance Requirements:
- The Agent must meet a target of sourcing at least 100 tags per month after the initial two-month onboarding period.
- No payouts will be made if the Agent sources fewer than 100 tags.
Penalty Clauses
1. Incorrect Tag Assignment:
- Tags issued incorrectly to scooters, three-wheelers, or tractors will incur penalties of Rs.3,000 to Rs.10,000 per instance.
- Additional penalties may apply if such errors result in losses for concessionaires, based on supporting evidence.
2. Re-Upload Failures:
Failure to re-upload rejected KYV documents will result in penalties of Rs.500 per instance.
3. Misuse or Improper Tag Usage:
- Complaints regarding mismatched RC and Wallet details will lead to wallet closure and a penalty of Rs.500.
- Improper usage, such as tags issued but not affixed on assigned vehicles or unauthorized changes to vehicle numbers, will incur penalties of Rs.1,000 to Rs.10,000.
